Write a Contract

I need a contract between myself and a company. I am going to be receiving payment from this company for connecting them with a specific bank. I need certain clauses in place to protect myself from circumvention (I don't want the company to contact the bank directly without being compensated as agreed upon) and to ensure proper payment. I need some sort of effective, legitimate consequence for non-payment after 15 days of the payment date. Background: I am setting up a company with a specific MSB (Money Services Business) friendly bank. The company has accepted to pay me a certain amount for deposits made into that bank. The intention of the contract is to ensure payment and avoid circumvention. The payment is to be in perpetuity for as long as the account is active. The company has to deposit a monthly minimum into that bank and failure to meet that minimum is irrelevant to me since it will not affect my fee amount. In this case, the company is to pay me the same rate as if it had deposited the monthly agreed upon minimum. Only if the account is not active with the bank, then the company is not obliged to pay me. Non-active means that their account has been terminated either by them or by the bank. If this were to be the case I would have to receive a written statement from the company and the bank saying that the relationship has been terminated. First of all, the bank has to approve the company's business. If for whatever reason it doesn't, I have to receive a written statement from the bank and the company saying that they did not approve the company, and naturally the deal doesn't go through. If the bank does approve the company (which is highly likely) then everything I have discussed is in play. Important specifics: my rate is adjusted to certain volumes I am to be an account signor (with permission only to see the account balance. I need this to ensure correct payment for amounts deposited above the minimum) I am to be paid the 12th of the month for deposits made in the last 30 days. There is a 3 day grace period and a $35 late fee for each day above the grace period. If the account for whatever reason is not established by the bank I am to receive a $500 one time payment. jurisdiction - state of California I will give you other specifics regarding company and bank info, my rate, minimums, etc... once you have been chosen for the job.
