Over the course of the last six months, BusinessNAME HEREhas established a network of more than 260
CPAs throughout the state of Florida. To encourage network members to refer corporate clients who are
looking to buy or sell a business, BusinessNAME HEREis developing a referral program that will enable
network members to share in the fees generated through our new website ConfidentialAcquisitions.com.
BusinessNAME HEREuses a common sense approach to selling a business by presenting the opportunity
to industry competitors who are looking to grow their companies through acquisitions. Participating
competitors are given a summary of the seller’s business, along with detailed financial statements and
document earnings. The competitors then have a predetermined period of time to submit offers, including
contingencies such as seller or third party financing. All offers are posted anonymously online at

At no time during the selling process is the name of the seller, or its competitors’ names, revealed. The
seller’s name is only revealed to the competitor whose offer is accepted and only after a refundable 5%
deposit is made with an independent escrow agent.
Once the escrow deposit is made, the competitor will receive a complete due diligence package, including
a comprehensive company profile, tax returns, profit & loss statements, and balance sheets for the last
three years. The competitor will then have two to three weeks - depending on the size of the transaction -
to complete due diligence and to submit a final contract for seller approval. During the due diligence
process, the competitor may cancel its offer for any reason and receive immediate return of its full
Once the transaction closes, a 20% referral fee will be paid to the network member who sponsored the
buyer and another 20% will be paid to the network member who sponsored the seller. The fees will be
based on the total compensation paid to BusinessNAME HEREto facilitate the transaction. All fees with be

Network members will be given free unlimited access to our online account management system to
monitor their client’s activities. In addition, they will receive automated email or text message updates
